These terms govern your use of Neatfile, an online-only tool that plans how your files should be organised from a description you type. They cover subscriptions, acceptable use, your content, liability and the law that applies.

01The agreementUsing Neatfile means accepting these terms with SORTED SOFTWARE LTD.

These Terms of Service form a contract between you and SORTED SOFTWARE LTD, a company established in Scotland, United Kingdom, with its registered office at 8 Dundrennan Drive, Chapelhall, Airdrie, North Lanarkshire, Scotland, ML6 8GT, United Kingdom("we", "us"). They govern your use of Neatfile and the website at sortedysoft.shop.

By creating an account, subscribing or using the service, you accept these terms. If you do not accept them, do not use the service.

02The serviceAn online tool that generates organisational plans from your description; it never touches your files.

Neatfile is an online-only software service that generates folder structures, naming conventions, declutter checklists, archive rules, weekly routines, illustrative diagrams and short walkthrough videos from the description you provide. Neatfile never accesses, reads, uploads, moves or deletes your real files.

The output is guidance for you to review and apply yourself. As set out in our AI Disclaimer, we do not promise any particular result, any amount of recovered storage, or that a plan will suit every situation, and we are not a data management, backup, recovery, antivirus or IT security service.

03Eligibility and accountsYou must be old enough and keep your account details accurate and secure.

The service is not for children under 13, who may not use it. If you are 13 to 17, a parent or guardian must agree to these terms and supervise your use. By using the service you confirm you meet these requirements.

Keep your account details accurate and your login secure. You are responsible for activity under your account. Tell us at support@sortedysoft.shop if you suspect unauthorised use.

04Subscriptions, allowances and paymentPlans are recurring subscriptions in US dollars with monthly allowances that do not carry over.

The Tidy plan is free. Focus and Studio are recurring subscriptions billed monthly or yearly in US dollars through our payment processor, Stripe. Prices are shown on the pricing page and exclude any tax that applies where you live.

Each paid plan includes a monthly allowance of plans and diagrams. Allowances reset at the start of each billing period and do not carry over. Neatfile is subscription-only: we do not sell credits, top-up packs or stored value of any kind.

Subscriptions renew automatically until cancelled. By subscribing you authorise recurring charges. You can change plan or cancel at any time through the billing portal linked on the pricing page or by emailing us.

05Acceptable useUse the service lawfully and do not misuse it; see the full Acceptable Use Policy.

You agree to use Neatfile only for lawful purposes and in line with our Acceptable Use Policy, which forms part of these terms. In particular, do not submit unlawful content, do not attempt to break or overload the service, and do not paste other people's confidential information.

06Your content and generated outputYou keep ownership of your input and the plans generated from it; see the Content License.

You keep ownership of the descriptions you submit and of the plans generated from them. You grant us a limited licence to process your input to operate the service, as described in the Content License. We do not use your content to train AI models.

You are responsible for reviewing output before you rely on it, and for backing up your data before you reorganise anything.

07Availability and changesWe aim for a reliable service but may update or interrupt it, and generation depends on third parties.

We work to keep the service available but do not guarantee it will be uninterrupted or error-free. We may update, suspend or withdraw features, and generation depends on third-party providers whose availability we do not control. We may change these terms; for material changes we will notify subscribers by email before they take effect.

08LiabilityWe do not exclude liability we cannot exclude by law; otherwise our liability is limited.

Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for loss of, or damage to, data or files arising from actions you take on your own equipment when following a plan; for indirect or consequential loss; or for loss of profit, revenue or anticipated savings.

Our total liability to you for any claim connected with the service is limited to the amount you paid us in the 12 months before the claim arose. The service is provided "as is" and "as available" to the extent permitted by law.

09TerminationEither side can end the agreement; some terms survive.

You may stop using the service and cancel your subscription at any time. We may suspend or end access if you breach these terms or the Acceptable Use Policy, or where required by law. Sections on content, liability and governing law survive termination.

10Governing lawScottish law applies, and the courts of Scotland have jurisdiction.

These terms and any dispute connected with them are governed by the laws of Scotland, and you and we submit to the jurisdiction of the courts of Scotland. If you are a consumer, you keep the benefit of any mandatory protections of the country where you live.
